Terms of Service

1. Acceptance of Terms

By installing, configuring, or otherwise using the Transit Ledger Workspace™ Add-on or web interface, you agree to comply with and be bound by these Terms of Service. If you do not agree, you are prohibited from utilizing the services.

2. Scope of Service & Usage Limits

Transit Ledger provides automated, AI-powered invoice receipt extraction, multi-currency foreign exchange (FX) conversions (using integrated central bank and global exchange rate APIs), and dynamic organization into Google Drive™ and Google Sheets™.

• Trial Tier Limits & Conditions: Trial access is provided strictly for temporary evaluation and testing purposes.
  • Trial usage is capped at a maximum of 50 lifetime invoice processes.
  • The trial program is a discretionary privilege, not a right. Eagna-Smart Solutions, Inc. reserves the absolute right, at its sole discretion, to modify, suspend, restrict, terminate, or revoke trial access (or the trial program itself) for any specific user, group of users, or all users at any time, for any reason, without prior notice, explanation, or liability.
• Subscription Tier Quotas: Paid subscriptions are governed by the following monthly limits (resetting on the 1st of each calendar month):
  • Commute: Up to 250 invoice processes per month.
  • Express: Up to 1,250 invoice processes per month.
  • Transit: Up to 7,500 invoice processes per month.
  • Overdrive: Up to 20,000 invoice processes per month.
• Overage & Top-Up Packages: Users may purchase one-time volume packages (e.g., 1,000 invoices) that do not reset with the monthly billing cycle, but expire exactly thirty (30) days from the purchase date if unused.
• Anti-Abuse Restrictions: Abuse, mass registration of burner accounts, quota pooling (such as connecting multiple trial accounts to a single Shared Drive™ or destination folder to aggregate processing capacity), or any other methods of circumventing trial limits via multiple Google accounts is strictly prohibited and constitutes a material breach of these Terms, resulting in immediate termination of service access.

3. License Grant, Professional Use & Data Ownership

• Software License & Restrictions: Eagna-Smart Solutions, Inc. grants you a personal, non-exclusive, non-transferable, revocable license to access and use Transit Ledger. You may not sublicense, resell, white-label, or redistribute the Transit Ledger software, APIs, or Google Workspace™ Add-ons as a stand-alone software product, nor reverse engineer the service.
• Authorized Professional & Multi-Client Bookkeeping: Legitimate bookkeepers, accounting firms, and professional consultants are explicitly permitted to use Transit Ledger across our multi-company features and subscription tiers to process, organize, and reconcile invoices on behalf of their third-party clients, provided usage remains within the purchased tier quotas.
• Complete Customer Data Ownership: In alignment with our Zero-Retention architecture, you and your clients retain 100% exclusive ownership of all invoices, receipts, Google Drive™ files, and Google Sheets™ ledgers created through the service. Transit Ledger does not retain your operational financial records on its servers and asserts no intellectual property claims over your spreadsheets or extracted data.

4. Account Management, Inactivity & Email Deliverability

You are solely responsible for securing your logged-in session. Transit Ledger utilizes AWS Cognito Google Federation for authentication.

• User-Initiated Deletion: You can permanently delete your account at any time via the User Dashboard "Delete Account" button (and revoke application permissions at any time via your Google Account Security settings). Deleting your account immediately and permanently purges your user profile, stored credentials, email routing aliases, and configuration records from our active systems, while short-term automated system diagnostics expire on their standard 90-day cloud lifecycle.
• Subscription Billing, Cancellation, & Termination:
  • User Cancellation: You may cancel your subscription at any time via your Stripe Billing Portal. Upon cancellation, your access will continue until the end of your current paid billing cycle, after which your subscription will not renew.
  • Termination by Us (For Convenience): We reserve the right to terminate your subscription or access to the service for convenience at any time by providing thirty (30) days' notice or by issuing a pro-rata refund of any prepaid, unused subscription fees for the remaining portion of your current billing period.
  • Termination by Us (For Cause): We may suspend or terminate your account immediately, without notice and without refund or liability, if you violate these Terms (including payment failures, anti-abuse violations, or unauthorized use).
• Email Deliverability Requirements: To use the service, you must maintain a valid, active Google email address capable of receiving system transactional emails (processing alerts, overage notifications, and billing receipts).
  • If emails sent to your address permanently bounce, or if you report any transactional platform notification as spam/junk, Eagna-Smart Solutions, Inc. reserves the right to immediately suppress outbound email alerts, lock access to your Stripe billing portal, and suspend auto-renewal of your active subscription to prevent billing disputes.
  • Deliverability issues must be resolved and verified through the in-app verification flow to restore full service.
• Inactive Account Cleanup Policy: Trial or downgraded accounts that register zero activity (no user logins, document uploads, or API calls) for twelve (12) consecutive months are considered abandoned and are subject to deletion.
  • We will send a warning email notification thirty (30) days prior to deletion (at Month 11) to give you an opportunity to keep the account active by simply logging in.
  • Upon permanent cleanup at Month 12, all dashboard configuration parameters, settings, and quotas are deleted.
  • Google Drive™ Safety: This account deletion and cleanup policy does not affect your Google Drive™. We will never delete or alter any files, folders, or spreadsheets stored on your Google Drive™ during this cleanup process. All documents, invoices, and ledgers created by Transit Ledger on your Google Drive™ remain completely safe, untouched, and under your exclusive control.

5. Limitation of Liability & Cap on Liability

Transit Ledger is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied.

• No Financial or Tax Liability: We do not guarantee 100% accuracy in AI document extraction, categorization, or tax calculations, as results are generated dynamically using AI models. You are solely responsible for auditing, verifying, and reconciling all financial spreadsheets. Transit Ledger is not responsible for any tax filing errors, audits, penalties, or financial discrepancies.
• Limitation of Damages: In no event shall Eagna-Smart Solutions, Inc., its developers, or its holding entities be liable for any indirect, incidental, special, or consequential damages resulting from connection issues, data loss, or service outages.
• Liability Cap: To the maximum extent permitted by law, Eagna-Smart Solutions, Inc.'s total cumulative liability to you for any and all claims arising out of or related to your use of the services shall be strictly capped at the total amount you actually paid to Eagna-Smart Solutions, Inc. in the preceding twelve (12) months, or fifty dollars ($50.00 CAD), whichever is greater.

6. Severability

If any provision of these Terms of Service is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary such that the remaining provisions of the Terms of Service will continue in full force and effect.

7. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms of Service at any time. If a revision is material, we will provide at least 30 days' notice on our website or via email before any new terms take effect. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.

8. Governing Law

These terms are governed by and construed in accordance with the laws of the Province of Manitoba and the federal laws of Canada applicable therein. Any disputes arising from these services shall be subject to the exclusive jurisdiction of the courts of Manitoba.
