Terms of Service

1. Acceptance of Terms
By installing, configuring, or otherwise using the Transit Ledger Workspace Add-on or web interface, you agree to comply with and be bound by these Terms of Service. If you do not agree, you are prohibited from utilizing the services.
2. Scope of Service & Usage Limits
Transit Ledger provides automated, AI-powered invoice receipt extraction, Bank of Canada FX conversions, and dynamic organization into Google Drive and Sheets.
- Trial Tier Limits & Conditions: Trial access is provided strictly for temporary evaluation purposes on an experimental basis.
- Trial usage is capped at a maximum of 50 lifetime invoice processes.
- The trial program is a discretionary privilege, not a right. Eagna-Smart Solutions, Inc. reserves the absolute right, at its sole discretion, to modify, suspend, restrict, terminate, or revoke trial access (or the trial program itself) for any specific user, group of users, or all users at any time, for any reason, without prior notice, explanation, or liability.
- Subscription Tier Quotas: Paid subscriptions are governed by the following monthly limits (resetting on the 1st of each calendar month):
- Commute: Up to 250 invoice processes per month.
- Express: Up to 1,250 invoice processes per month.
- Transit: Up to 7,500 invoice processes per month.
- Overdrive: Up to 20,000 invoice processes per month.
- Overage & Top-Up Packages: Users may purchase one-time volume packages (e.g. 500 invoices) that do not expire monthly but expire exactly one (1) year from the purchase date if unused.
- Anti-Abuse Restrictions: Abuse, mass registration of burner accounts, quota pooling (such as connecting multiple trial accounts to a single Shared Drive or destination folder to aggregate processing capacity), or any other methods of circumventing trial limits via multiple Google accounts is strictly prohibited and constitutes a material breach of these Terms, resulting in immediate termination of service access.
3. Account Management, Inactivity & Email Deliverability
You are solely responsible for securing your logged-in session. Transit Ledger utilizes AWS Cognito Google Federation for authentication.
- User-Initiated Deletion: You can completely delete your account and revoke all Google access tokens at any time via the User Dashboard "Delete Account" button. Doing so permanently and immediately clears all personal configuration parameters and usage stats from our database.
- Email Deliverability Requirements: To use the service, you must maintain a valid, active Google email address capable of receiving system transactional emails (processing alerts, overage notifications, and billing receipts).
- If emails sent to your address permanently bounce, or if you report any transactional platform notification as spam/junk, Eagna-Smart Solutions, Inc. reserves the right to immediately suppress outbound email alerts, lock access to your Stripe billing portal, and suspend auto-renewal of your active subscription to prevent billing disputes.
- Deliverability issues must be resolved and verified through the in-app verification flow to restore full service.
- Inactive Account Cleanup Policy: Trial or downgraded accounts that register zero activity (no user logins, document uploads, or API calls) for twelve (12) consecutive months are considered abandoned and are subject to deletion.
- We will send a warning email notification thirty (30) days prior to deletion (at Month 11) to give you an opportunity to keep the account active by simply logging in.
- Upon permanent cleanup at Month 12, all dashboard configuration parameters, settings, and quotas are deleted.
- Google Drive Safety: This cleanup policy does not affect your Google Drive. Eagna-Smart Solutions, Inc. operates on a zero-retention model and never deletes, modifies, or accesses document files, logs, or folders stored on your Google Drive. Your drive files remain completely safe and untouched.
4. Limitation of Liability & Cap on Liability
Transit Ledger is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied.
- No Financial or Tax Liability: We do not guarantee 100% accuracy in AI document extraction, categorization, or provincial tax calculations, as results are generated dynamically using AI models. You are solely responsible for auditing, verifying, and reconciling all financial spreadsheets. Transit Ledger is not responsible for any tax filing errors, audits, penalties, or financial discrepancies.
- Limitation of Damages: In no event shall Eagna-Smart Solutions, Inc., its developers, or its holding entities be liable for any indirect, incidental, special, or consequential damages resulting from connection issues, data loss, or serverless service outages.
- Liability Cap: To the maximum extent permitted by law, Eagna-Smart Solutions, Inc.'s total cumulative liability to you for any and all claims arising out of or related to your use of the services shall be strictly capped at the total amount you actually paid to Eagna-Smart Solutions, Inc. in the preceding twelve (12) months, or fifty dollars ($50.00 CAD), whichever is greater.
5. Severability
If any provision of these Terms of Service is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary such that the remaining provisions of the Terms of Service will continue in full force and effect.
6. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms of Service at any time. If a revision is material, we will provide at least 30 days' notice on our website or via email before any new terms take effect. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
7. Governing Law
These terms are governed by and construed in accordance with the laws of the Province of Manitoba and the federal laws of Canada applicable therein. Any disputes arising from these services shall be subject to the exclusive jurisdiction of the courts of Manitoba.
